What does Florida law say about merchant cash advance disclosures?

Florida’s Commercial Financing Disclosure Law, part XIII of chapter 559 of the Florida Statutes (sections 559.961 to 559.9615), took effect July 1, 2023, and applies to commercial financing transactions consummated on or after January 1, 2024. It requires a covered provider to give the business a written disclosure of the financing’s terms. The statute defines a commercial financing transaction to include an accounts receivable purchase, the form a merchant cash advance takes.

The law has limits. It does not apply to a transaction of more than $500,000, or to a provider that consummates no more than five commercial financing transactions in the state in a 12-month period. The Attorney General alone enforces it, a business has no private right of action under it, and a violation does not by itself affect the enforceability or validity of the underlying transaction. Fines are $500 per incident, up to $20,000 in total, rising to $1,000 per incident, up to $50,000, after written notice of a prior violation.

If your advance was signed in 2024 or later and you never received a written disclosure of its terms, that is worth knowing. Whether the law covered your transaction is a question for a licensed attorney in your state. Our guide to MCA disclosure laws by state compares this law with the others.

What does the process look like for a South Florida business?

It is the same everywhere. A free consultation and position review map every advance, draft, and lien against your real deposits. If you go ahead, you sign one set of program documents with every term and fee in them, and a servicing partner’s negotiation team works with your funders directly while you sign each new agreement yourself. The program fee is set out in your program agreement. Anchor Resolve is compensated by the servicing partner from that fee. You do not pay Anchor Resolve separately.

Anchor Resolve does not negotiate with funders, does not hold client funds, and is not a law firm. If you have been served with a lawsuit, talk to a licensed attorney in your state right away. The full process, step by step and the MCA debt relief overview cover the rest, and the guides for restaurants, trucking, construction, and medical practices cover the industries where owners most often find us. Results vary. No outcome is guaranteed.

No. Anchor Resolve works with small business owners across the United States, where it may lawfully provide services. Does Florida law require a merchant cash advance provider to disclose the terms?

Often, for transactions consummated on or after January 1, 2024. Florida’s Commercial Financing Disclosure Law, sections 559.961 to 559.9615 of the Florida Statutes, requires a covered provider to give a written disclosure. It excludes transactions over $500,000 and providers with five or fewer transactions in the state in 12 months. A licensed attorney can tell you whether it covers yours.
